Job Description:
The Associate General Counsel will work closely with the GC to
advise on real estate finance, treasury and CLO/securitization
matters. Client DetailsFinancial services.DescriptionThe Associate
General Counsel will report to the General Counsel and will be
responsible for:
- Work closely with the internal treasury and securitization
teams on a variety of legal matters, including helping to manage
the relationships with outside financial institutions that the
company works with.
- Offer specialized legal support for the company's financing
activities, including the establishment and management of mortgage
warehouse and repurchase facilities, as well as secured and
unsecured credit facilities.
- Provide expert legal counsel on matters related to
Collateralized Loan Obligations (CLOs) and securitizations,
ensuring all transactions comply with relevant laws and best
practices within the financial industry.
- Advise on and structure bridge and mezzanine financing
transactions.
- Assist corporate compliance and corporate governance as
needed.
- Drafting, reviewing, and negotiating a wide range of contracts,
including those pertaining to corporate operations and strategic
partnerships.Profile
- J.D. with strong academic credentials from an accredited law
school
- Admission to NY State Bar
- 7+ years of experience with commercial/corporate finance
transactions, CLOs, treasury and mortgage warehouse facilities
gained at a top NYC law firm or in-house within the industry
- Experience working with REITs is preferred
- Strong understanding of commercial real estate finance
matters
- Relevant post-big law in-house experience also considered
- Excellent communication skills, both written and verbal
- Team player with ability to provide clear and concise legal
